Gift Tax Rules for Business Owners: Annual Exclusion, Lifetime Exemption, and Business Transfers

Written by Yarik Yarosh, CPA (US & Canada) September 5, 2026 · FL CPA license AC61704 · CPA Ontario

The federal gift tax under IRC 2501 applies when a person transfers property (including business interests, cash, real estate, or stock) to another person for less than full and adequate consideration. The gift tax and estate tax share a unified exemption ($13.99 million per person for 2025, made permanent by the OBBBA), meaning every dollar of gift exemption used during life reduces the amount available at death. The annual exclusion ($19,000 per recipient for 2025) allows gifts below this amount to be made without using any of the lifetime exemption or filing a gift tax return. For business owners, the most impactful application of gift tax rules is the transfer of business interests to the next generation using valuation discounts, which allow the transfer of significantly more economic value than the face amount of the exclusion or exemption would suggest.
