Qualified Opportunity Zone Investments: Capital Gains Deferral and Exclusion Under IRC 1400Z

Written by Yarik Yarosh, CPA (US & Canada) September 5, 2026 · FL CPA license AC61704 · CPA Ontario

Qualified Opportunity Zones represent one of the most generous capital gains incentives in the current tax code. Under IRC 1400Z-2, an investor who rolls capital gains into a Qualified Opportunity Fund within 180 days of the gain event can defer the original gain and, if the investment is held for 10 or more years, permanently exclude all future appreciation on the QOF investment from tax. The original deferred gain must be recognized no later than December 31, 2026 (the statutory inclusion date), regardless of whether the QOF investment has been sold. The 10-year exclusion applies only to gains that accrue after the investment in the QOF, not to the original deferred gain. For investors with significant capital gains from selling a business, real estate, or concentrated stock positions, QOZ investments provide a powerful combination of deferral and permanent exclusion that isn’t available through any other provision.
